When you invest in common shares of a company known as equity you take on more risk because you don’t have any fixed cash flow or rights to any any assets in case of liquidation. If the company makes money and the bond and preferred share holders are paid there fixed amount of cash what ever is left over is equity and it is not fixed and can be virtually unlimited. So the common share holders have a better gain because they took the risk and know they can realize a profit.
Dividends paid on a common share lower the equity of the company so it is debatable whether or not to pay the common shareholders or keep the cash and use it to make even more profits.
